General terms and conditions of sale for Slovenia

1. General

1.1. The following conditions apply to all offers and each sale or supply of goods by the company Hermi, d.o.o. (hereinafter HERMI, d.o.o. or the seller)

1.2. Buyer's or any other terms and conditions apply only if they have been confirmed in writing by HERMI, d.o.o.

1.3. Oral agreements are only valid if they have been confirmed in writing by HERMI, d.o.o. Our confirmations, sent by fax or e-mail are also considered to be a written confirmation.

1.4. A confirmed agreement on the modification of an individual point from the general terms and conditions of HERMI, d.o.o. does not affect the validity of other points or provisions of these conditions.

1.5. Upon placing the order, and at the latest upon receipt of the goods, the buyer or the customer accepts and acknowledges the general terms and conditions of HERMI, d.o.o.

1.6. General terms and conditions relate exclusively to the sale of materials and products by HERMI, d.o.o.

2. Offers and orders

2.1. Seller's offers are non-binding. The buyer's order is binding on the seller after written confirmation.

2.2. Sketches, technical drawings and other appendices or documents attached to the offer are binding on us only if they are explicitly specified in the order. These attachments or documents may only be used for buyer’s personal use and may not be reproduced or made available to third parties without the seller's written permission.

2.3. In the event of customer's cancellation of the order, he is obliged to reimburse HERMI, d.o.o. all the costs incurred in connection with the same order up to the date of cancellation.

2.4. In the case of a customer's recall order, the customer is obliged to recall the goods within the period specified in the order. Otherwise, HERMI, d.o.o. can, at its discretion, set a delivery deadline or even waive the obligation to deliver the remaining goods. The payment period shall begin on the day of dispatch of the goods.

3. Price policy

3.1 Seller's prices are, unless otherwise stated, given at EXW (Ex Works) HERMI, d.o.o., Celje, including the costs of packaging and preparation of goods for transport. All prices are net prices and do not include VAT.

3.2 The prices can be changed by the seller at any time without prior notice.

3.3 Given price is valid at the time of purchase, and after confirmation of the order the seller can no longer change it, regardless of the provision in point 3.2.

3.4 Any rebates are agreed in writing upon individual order.

4. Payment terms

4.1 The obligation falls due within the deadlines set on the invoices issued. For late payment, the seller reserves the right to charge legal default interest, from the date of delay until payment and all costs incurred in connection with the recovery of payment.

4.2. When doing business with foreign buyers, the payment terms linked to an individual order are simultaneously stated in the offer and confirmation of the received order.

4.3. For new foreign buyers, for the first three orders a one hundred per cent advance payment is required according to the issued pro forma invoice before the delivery of goods.

5. Delivery time and delivery of goods

5.1. The delivery period starts after the order is confirmed by HERMI, d.o.o.

5.2. The seller sells the goods to the buyer EXW (Ex Works) warehouse of the seller, in accordance with Incoterms 2020.

5.3. The delivery period or delivery date is the day when the goods are sent from the seller's warehouse or the day when the buyer took over the goods from the seller's warehouse. Delivery of goods to the carrier is also considered a delivery.

5.4. We reserve the right to partial deliveries of goods.

5.5. The confirmed delivery time may be extended in the event of a subsequent change in the customer's order (quantity, technical specification of goods, etc.) and in cases where HERMI, d.o.o. has no effect, that is, in cases of force majeure. As a force majeure, we understand the extension of delivery times due to major machine breakdowns in the factory of the seller or his supplier, strikes, natural and other disasters, martial law and the like. We also understand force majeure as a significant extension of the delivery times of our suppliers due to the extension of the delivery times of their subcontractors. The extension of the delivery time in such cases is equal to the time of force majeure and the time required to restart production at the seller or his supplier.

5.6. For orders received from abroad, the delivery of the ordered goods is charged to the buyer at the actual transport costs.

6. Ownership reservation

6.1 The goods remain the property of HERMI, d.o.o. until they are paid in full.

7. Complaints

7.1 All complaints, related to irregularities or damage to the received goods must be made within 8 days of receipt of the goods. If the complaint is recognized and confirmed by HERMI, d.o.o., a free exchange of goods will be carried out at the expense of HERMI, d.o.o.

8. Protection of confidential and other information

8.1 The buyer may not disclose, disseminate or publish confidential and other information received during negotiations with the seller on the conclusion and realisation of business cooperation, any natural or legal person, without the prior written consent of the seller, except for its employees who are obliged to comply with these provisions, the customer may not use confidential information for any other purpose.

8.2 The customer agrees to exercise reasonable diligence in preventing any unauthorised disclosure of confidential information, and in no case with less diligence than he uses to protect his most confidential information.

9. Jurisdiction

9.1 By ordering or purchasing from the seller, the buyer declares that he is fully acquainted with these general terms and conditions and accepts all the provisions of these general terms and conditions.

9.2 All disputes are assessed in accordance with the Slovenian Code. The District Court in Celje has jurisdiction.
